    Please read these Terms carefully. By accessing or using TeacherDesk, subscribing to any plan, or clicking "I agree," you agree to be bound by these Terms of Service. If you do not agree, do not use TeacherDesk.
  

1. About TeacherDesk

TeacherDesk ("we," "us," or "our") is an AI-powered teaching assistant platform operated by BrightWave Technology LLC, providing software-as-a-service (SaaS) tools to K-12 educational institutions. These Terms govern your access to and use of the TeacherDesk platform, including all tools, features, and services available at teacherdesk.net and its subdomains.

2. Eligibility & Account

You must be an authorized representative of an educational institution (school, district, or charter) to subscribe to TeacherDesk. By accepting these Terms, you represent that you have the authority to bind your institution to this agreement. Individual teacher accounts are created by school administrators and are subject to these Terms.

3. License Grant

Subject to your payment of applicable fees and compliance with these Terms, TeacherDesk grants you a limited, non-exclusive, non-transferable, revocable license to access and use the platform during your subscription period solely for internal educational purposes.

You may not:

Resell, sublicense, or redistribute access to TeacherDesk to any third party
Reverse engineer, decompile, disassemble, or attempt to derive the source code
Copy, modify, or create derivative works of the platform
Use automated tools, bots, or scripts to access the platform without written permission
Use TeacherDesk for any commercial purpose other than internal school operations
Share login credentials between multiple individuals or institutions

4. Subscription & Payment

TeacherDesk is offered on monthly and annual subscription plans. By subscribing, you authorize us to charge the applicable fees to your payment method on a recurring basis until cancellation. All fees are in U.S. dollars and are non-refundable except as stated in Section 5.

Annual plans: Billed once per year. Automatically renew unless cancelled at least 30 days before renewal date.
Monthly plans: Billed monthly. May be cancelled at any time with 30 days written notice.
Failed payments: If payment fails, we will attempt to retry. Access may be suspended after 7 days of non-payment.
Price changes: We reserve the right to change pricing with 30 days advance notice.

5. Refund Policy

Annual subscriptions are eligible for a full refund within 30 days of the initial purchase date if you are not satisfied. After 30 days, annual subscriptions are non-refundable. Monthly subscriptions are not eligible for partial-month refunds. To request a refund, contact support@teacherdesk.net.

6. FERPA Compliance & Student Data

TeacherDesk is designed to assist teachers with administrative tasks. You are solely responsible for ensuring that no personally identifiable student information (PII) as defined by FERPA is entered into the platform. TeacherDesk does not knowingly collect, store, or process student PII. Any text entered into TeacherDesk tools is processed by AI models for the purpose of generating educational content and is not retained for training purposes.

    Important: Do not enter student names, ID numbers, Social Security numbers, medical records, or any other student PII into TeacherDesk tools. Use generic references (e.g., "a student," "the class") instead.
  

7. Acceptable Use

You agree to use TeacherDesk only for lawful educational purposes. You may not use the platform to:

Generate content that is discriminatory, harassing, abusive, or harmful
Violate any applicable local, state, federal, or international law or regulation
Infringe the intellectual property rights of any third party
Attempt to gain unauthorized access to any part of the platform or its infrastructure
Transmit malware, viruses, or any other malicious code
Interfere with or disrupt the integrity or performance of the platform

8. Intellectual Property

TeacherDesk and all associated content, features, functionality, trademarks, and technology are owned by BrightWave Technology LLC and are protected by copyright, trademark, and other intellectual property laws. Nothing in these Terms transfers any intellectual property rights to you.

Content generated by TeacherDesk tools using your inputs is provided for your educational use. You retain ownership of the content you input. AI-generated outputs are provided "as-is" and are not guaranteed to be accurate, complete, or free of errors.

9. Disclaimer of Warranties

TEACHERDESK IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

AI-generated content may contain errors or inaccuracies. Teachers are responsible for reviewing, editing, and verifying all AI-generated content before use with students, parents, or administrators.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BRIGHTWAVE TECHNOLOGY LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

Your access to or use of (or inability to access or use) the platform
Any content generated by the platform
Unauthorized access to or alteration of your data
Any third-party conduct or content on the platform
Any other matter relating to the platform

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU PAID TO TEACHERDESK IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless BrightWave Technology LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of TeacherDesk; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) any student data entered into the platform in violation of FERPA or these Terms.

12. Termination

We reserve the right to suspend or terminate your access to TeacherDesk at any time, with or without notice, for any violation of these Terms. Upon termination, your right to use the platform ceases immediately. Sections 8, 9, 10, and 11 survive termination.

13. Modifications to Terms

We may update these Terms from time to time. We will notify you of material changes via email or a prominent notice on our website at least 14 days before the changes take effect. Your continued use of TeacherDesk after the effective date constitutes acceptance of the updated Terms.

14. Governing Law

These Terms are governed by the laws of the State of Nevada, without regard to conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Clark County, Nevada.
